We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. SECTION 25 - CONSIGNMENT SERVICES

25.1 Consignment Relationship
By submitting any item to Sit N Shop for consignment, you appoint Sit N Shop as your non-exclusive sales agent for the purpose of marketing and selling your items through our website, marketplaces, social media platforms, or other approved sales channels.

25.2 Ownership of Consigned Items
You represent and warrant that:
(i) you are the legal owner of all items submitted for consignment;
(ii) you have the full legal authority to sell or consign such items;
(iii) all items are authentic and lawfully obtained;
(iv) no submitted items are counterfeit, stolen, financed, or subject to any dispute, claim, or third-party ownership interest.

25.3 Authenticity and Prohibited Items
Sit N Shop reserves the right to reject, remove, return, suspend listings for, or dispose of any item we reasonably believe to be:
(i) counterfeit;
(ii) stolen;
(iii) unsafe;
(iv) prohibited by law or marketplace policies;
(v) materially misrepresented;
(vi) unsuitable for resale.

Where appropriate, Sit N Shop may cooperate with brands, payment processors, marketplaces, law enforcement agencies, or other third parties in relation to suspected counterfeit or fraudulent goods.

25.4 Item Acceptance
Submission of an item does not guarantee acceptance for consignment. Sit N Shop reserves the right to refuse any item at our sole discretion, including due to:
(i) poor condition;
(ii) low resale demand;
(iii) operational limitations;
(iv) authenticity concerns;
(v) prohibited categories;
(vi) hygiene concerns;
(vii) marketplace restrictions.

25.5 Pricing and Listing Management
Sit N Shop may photograph, edit, optimise, relist, amend descriptions, adjust pricing, bundle, promote, or otherwise manage listings at our discretion in order to maximise sales performance and marketplace compliance.

All pricing decisions remain at the discretion of Sit N Shop unless otherwise agreed in writing.

25.6 No Guaranteed Sales
Sit N Shop does not guarantee:
(i) the sale of any item;
(ii) any minimum selling price;
(iii) any timeframe for sale;
(iv) listing visibility or marketplace exposure;
(v) profitability or earnings.

25.7 Commission and Seller Payouts
Seller payouts, commissions, subscription benefits, fees, and pricing structures are governed by the pricing information published on our website or otherwise agreed in writing.

Sit N Shop reserves the right to deduct:
(i) commissions;
(ii) marketplace fees;
(iii) payment processing fees;
(iv) shipping costs;
(v) return costs;
(vi) authentication costs;
(vii) agreed subscription fees;
(viii) any other applicable operational costs.

Payouts may be withheld, delayed, adjusted, reversed, or recovered where:
(i) a transaction is disputed;
(ii) a customer return is requested;
(iii) a chargeback occurs;
(iv) fraud is suspected;
(v) marketplace reserve periods apply;
(vi) verification checks remain ongoing.

25.8 Subscription Plans
Where applicable, consignment services may be offered through subscription tiers or service plans. Subscription features, item limits, benefits, support levels, fees, and pricing are subject to change at any time.

Downgrading to a lower subscription tier may require the return or removal of items exceeding the permitted item allowance of the new tier.

Sit N Shop reserves the right to prioritise higher-performing items, operational efficiency, and marketplace optimisation when determining which items remain active under reduced plan limits.

25.9 Shipping and Transfer of Items
Customers are responsible for securely packaging items shipped to Sit N Shop unless otherwise agreed.

Risk of loss during inbound shipping to Sit N Shop remains with the sender until successfully received by us.

Outbound shipments to customers are subject to the terms outlined in our Shipping Policy.

25.10 Storage and Unclaimed Items
Where items remain unsold, unclaimed, or inactive beyond any agreed consignment period, Sit N Shop may contact you to arrange return, renewal, donation, disposal, liquidation, or continued storage.

If items remain unclaimed after reasonable attempts to contact you, Sit N Shop reserves the right to:
(i) donate;
(ii) recycle;
(iii) liquidate;
(iv) dispose of;
(v) relist;
(vi) otherwise manage such items at our discretion without compensation.

Sit N Shop may also apply storage fees where items remain uncollected beyond a reasonable timeframe.

25.11 Loss, Damage and Liability
While Sit N Shop takes reasonable care when handling consigned goods, all consignment services are provided at the owner's risk.

To the fullest extent permitted by law, Sit N Shop shall not be liable for:
(i) accidental damage;
(ii) wear and tear;
(iii) theft;
(iv) fire;
(v) flood;
(vi) carrier losses;
(vii) marketplace actions;
(viii) cyber incidents;
(ix) events outside our reasonable control.

Any liability, where legally required, shall be limited to the final seller payout value actually received for the affected item.

25.12 Marketplace and Platform Risks
Sit N Shop may utilise third-party platforms, including online marketplaces, payment processors, shipping carriers, and social media services, in order to provide consignment services.

We are not responsible for:
(i) platform outages;
(ii) account suspensions;
(iii) algorithm changes;
(iv) payment delays;
(v) marketplace policy changes;
(vi) technical errors;
(vii) third-party service interruptions.

25.13 Customer Returns and Refunds
Items sold through marketplaces or the Sit N Shop website may be subject to returns, disputes, refunds, authenticity reviews, or buyer protection claims in accordance with applicable marketplace rules, payment provider policies, or consumer protection laws.

Where a return or refund is issued, seller payouts may be adjusted or reversed accordingly.

25.14 Abandoned Communication
Where a seller becomes unresponsive for an extended period of time regarding active consignments, payouts, returns, or item collection, Sit N Shop reserves the right to take reasonable operational action regarding the affected items.

25.15 Independent Relationship
Nothing within these Terms creates any partnership, employment relationship, agency relationship, joint venture, or franchise relationship between Sit N Shop and any consignor beyond the limited purpose of facilitating resale services.

25.16 Brand and Trademark Disclaimer

25.17 Right to Suspend or Terminate Consignment Services
Sit N Shop reserves the right to suspend, refuse, or terminate consignment services or seller accounts at any time where we reasonably believe:
(i) these Terms have been violated;
(ii) fraudulent activity has occurred;
(iii) counterfeit goods have been submitted;
(iv) abusive conduct has occurred;
(v) operational or legal risks are present.

SECTION 26 - UK GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of England and Wales.

You agree that any disputes arising from or relating to the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing within these Terms affects your statutory rights under applicable United Kingdom consumer protection laws, including the Consumer Rights Act 2015 and applicable UK consumer contract regulations.

SECTION 27 - DIGITAL PRODUCTS AND DOWNLOADS

Any digital products, guides, templates, memberships, downloadable resources, or digital services sold by Sit N Shop are licensed, not sold, to you for personal, non-commercial use only.

You may not reproduce, redistribute, resell, share, modify, or commercially exploit any digital product without prior written consent from Sit N Shop.

Unless otherwise required by law, digital products and downloadable purchases are non-refundable once access has been granted or the product has been delivered.
